Welcome to Common Terms of Service. Common Services include Common rewards system, Common carbon footprint tracker, and carbon converter to calculate and convert your carbon footprint into Green coins. The Common Services are only intended for consumer use.
By using the Common Services or by accepting this Agreement as part of the registration procedure to the Common Services, you enter into this Agreement with Common (referred as “Common” or “We”).

1. Definitions

“Carbon Footprint Tracker” means the carbon footprint tracking app part of the Common Services by which the User’s carbon footprint is calculated.
“Common Rewards” means the Green coins awarded to users for trackable sustainable actions as outlined in the Common Rewards section.
“Common Services” means the services provided on the Website including but not limited to the rankings created and updated by Common for our users.
“User” or “you” means the registered users of the Common Services.
“Terms” or “Agreement” means these Terms of Service.
“Website” means our website available at www.co2mmon.eu through which the Common Services are provided.

2. Use of the Common Services

Functions and features of the Common Services, such as the Carbon Footprint Tracker, are available to all Users free of charge.
Subject to compliance with the terms agreed in this Agreement, you have a limited, non-exclusive, non-transferable, and sub licensable right to use the Common Services in the form offered to you by us from time to time for the purposes set out herein. We are continuously developing the Common Services and we may change or remove different parts of the Common Services, including its functionalities and features, in part or in whole the entire subscription.
We are not responsible for retaining any materials or information that has been uploaded by users to the Common Services. Do not use the Common Services for storing or backing up any materials or information.

3. User accounts

When creating a user account and becoming a Common User, the User must submit accurate and current details, as requested on the Common Services. Please remember to update your details in case of any changes.
Your user account and password are personal. Do not disclose your password to third parties and do not let third parties use your user account. Please note that you are responsible for all use of the Common Services under your user account.
We have the right to terminate your user account to the Common Services at any time, for example in case we deem that you have breached this Agreement, added misleading, inaccurate, inappropriate, unauthorised or illegal content to the Common Services or caused harm to us or the other Users of the Common Services.

4. Greencoins

Common rewards users in Greencoins based on trackable sustainable actions limited to 40 kilometers of cycling or using public transportation or public bicycles per day.
For each km, a certain number of Greencoin will be rewarded to users with a maximum of 100 per day. This number depends on the activity and the population density of the district in which the activity is performed. The denser the district, the more Greencoins are allocated per km.
Greencoins can be accumulated and spent with Common partners within the framework of "deals" proposed by them on the Common App.
Greencoins are also used to establish rankings of users according of the total amount of Greencoins they gathered since they joined Common.

5. Restrictions of use of the Common Services

You may use the Common Services only and strictly in accordance with the terms of this Agreement and only for the purposes set out herein.
Unless otherwise permitted in this Agreement, you may not:
circumvent or attempt to circumvent any usage control or anti-copy features of the Common Services;
probe, scan or test the vulnerability of the Common Services;
use any data mining, robots, scraping, or similar data gathering or extraction methods;
use bots or other automated methods to use the Common Services;
use, copy, sell, rent, transfer, license or otherwise provide anybody with the Common Services;
interfere with other Users’ use and enjoyment of the Common Services;
reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code of the Common Services or any related technology, or any part thereof;
create an account in the Common Services using a fake identity or an identity of another person;
access the Common Services except through the interfaces expressly provided by Common, such as the Website and the App;
use the Common Services in violation of applicable law;
use the Common Services in ways that violate intellectual property rights, trade secrets or privacy of third parties;
use the Common Services for unauthorised, inappropriate or unethical purposes or activities or
use the Common Services to transmit any material that contains adware, malware, spyware, software viruses, worms or any other computer code designed to interrupt, destroy, or limit the functionality of computer software or equipment.

6. Third-party services

Certain functionalities and content on the Common Services may be provided by third parties.
This Agreement covers exclusively the Common Services and the use thereof and any and all linked third-party services and content are provided by the relevant third parties and covered by their terms of service or other agreements or licenses. Common does not assume any liability in regard to use of such third-party services and content, whether or not they are referenced by or available on the Common Services.

7. Intellectual property rights

All intellectual property rights in or related to the Common Services and the data generated by the Common Services or the Users’ use of the Common Services and all parts and copies thereof shall remain exclusively vested with and be the sole and exclusive property of Common.
Except as expressly stated herein, this Agreement does not grant the User any intellectual property rights in the Common Services and all rights not expressly granted hereunder are reserved by Common and its subcontractors or licensors, as the case may be.

8. Limitation of liability

We try to keep the Common Services up and running but please note that the Compensate Services may at any time be temporarily interrupted or Common discontinued. Except as specifically provided under this Agreement, the Compensate Services are provided as described on our Website and with the functionalities available at each time without warranty of any kind, either express or implied, including but not limited to the warranties of merchantability and fitness for a particular purpose. This section does not limit Common’s statutory liability for defects or delays in the Common Services to the Users or their statutory remedies under any applicable mandatory consumer protection laws.

9. Term and termination

This Agreement is in force and binding as long as the User is using the Common Services.
Common may, by notifying you in writing thereof, terminate this Agreement or a part thereof at any time with immediate effect. You can terminate your user account to the Common Services at any time.
After the termination of your user account or this Agreement, you shall lose your access right to your user account immediately upon the termination of the user account or the Agreement. All provisions of this Agreement that are intended to survive the termination or expiry of this Agreement shall do so.

10. Amendments to the Terms and Compensation

We have the right to amend this Agreement and the calculation formula of the Common by publishing the amended Agreement on the Website and by notifying our registered Users of the amendments to the Agreement and Compensation by sending them an email to the address they have submitted to us. The amended Agreement and/or Compensation will become effective within 30 days after they have been published as stated above. By continuing to use the Common Services after the amendments have been published, you accept the new terms of this Agreement.

11. Assignment

You cannot transfer or assign this Agreement. We may, however, transfer and assign this Agreement and our rights hereunder (including intellectual property rights and licenses) to our affiliates or as part of a sale or transfer of our business or other corporate acquisition.

12. Applicable law and dispute resolution

Any claim relating to Common’s Website and Services shall be governed by the laws of Munich, Germany and subject to the exclusive jurisdiction of the courts of Munich, Germany. If you have any questions about these Terms and Conditions of Use, please contact us at: enee@co2mmon.eu.
